& Conditions

These Terms & Conditions ("Terms") are a legally binding agreement between you ("User", "you") and BayLeaf OÜ, a private limited company incorporated under the laws of the Republic of Estonia, operating under the trading name Tomorrow's Wallet ("Company", "we", "us").

By creating an account or using the Service, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter binding agreements in your jurisdiction
• Have read and agree to these Terms and our Privacy Policy

Tomorrow's Wallet provides a programmable financial automation platform enabling users to:

• Connect bank accounts via India's Account Aggregator framework
• Allocate idle funds into yield-bearing instruments, including government bond-backed stablebonds via Etherfuse infrastructure
• Create and execute automated financial rules (subscription management, salary splitting, yield recall)
• Monitor real-time yield accrual through a unified dashboard

BayLeaf OÜ is a technology company, not a bank, investment advisor, broker-dealer, or licensed financial institution. We do not hold your funds in custody. We do not provide personalised investment advice. The Service is provided from Estonia and governed by Estonian and EU law.

3.1 Identity Verification

Use of yield features requires KYC verification in compliance with applicable anti-money laundering regulations, including Estonia's Money Laundering and Terrorist Financing Prevention Act (MLTFPA) and India's PMLA, 2002.

3.2 Account Security

You are solely responsible for maintaining credential confidentiality and all activity under your account. Immediately report unauthorized access to security@tomorrowswallet.in.

We will never request your password, private key, or seed phrase.

3.3 Accuracy

You agree to provide true, accurate, and complete registration information and maintain its accuracy. False information is grounds for immediate termination.

4.1 Not Financial Advice

Nothing on the Service constitutes financial, investment, tax, or legal advice. All yield rates and projections are informational only.

4.2 Investment Risks

By using yield features, you acknowledge:

• Currency risk: Stablebonds backed by foreign sovereign bonds (Mexican CETES, US T-Bills, etc.) expose you to INR/foreign currency exchange rate fluctuations. Headline APY figures are denominated in the underlying currency and may differ when converted to INR.
• Sovereign and credit risk: Government bonds carry credit risk, including the risk of sovereign default.
• Liquidity risk: Redemption during periods of high demand or market stress may be delayed.
• Smart contract risk: Yield mechanisms execute via audited but not infallible smart contracts. Bugs or exploits may result in loss of funds.
• Regulatory risk: The classification of tokenized financial instruments under SEBI, RBI, and EU financial regulations continues to evolve and may affect product availability, structure, or taxation.
• Technology risk: Blockchain networks, wallets, and third-party integrations may experience outages, forks, or failures outside our control.

4.3 Regulatory Notice

BayLeaf OÜ operates as a technology intermediary. Stablebond instruments are accessed through Etherfuse's licensed infrastructure. Users are advised to consult a qualified financial or tax advisor regarding the regulatory and tax treatment of yield income in their jurisdiction.

5.1 Non-Custodial Disclaimer

BayLeaf OÜ does not take custody of your cryptocurrency, stablecoins, or stablebond tokens. You retain full control of your private keys. We cannot reverse on-chain transactions on your behalf.

5.2 Transaction Irreversibility

All blockchain transactions are final and irreversible once confirmed. We bear no liability for losses due to:

• Incorrect wallet addresses
• User error in rule configuration
• Smart contract exploits
• Network failures or congestion

5.3 Wallet Connection Risks

Connecting third-party wallets carries inherent risks. We are not responsible for vulnerabilities in third-party wallet software or loss of access due to forgotten credentials.

5.4 Token Volatility

While stablebonds are designed to track their underlying sovereign bond, no digital asset guarantee is absolute. Values may fluctuate.

6.1 User-Configured Rules

All automation rules are configured entirely by you. BayLeaf OÜ executes rules as instructed and bears no responsibility for:

• Rules producing unintended financial outcomes
• Missed payments or penalties from rule-triggered blocks
• Yield losses from early recall triggered by your rule
• Third-party service terms violations arising from your rules

6.2 Rule Accuracy

Rules depend on signal quality from connected data sources. Signal latency or third-party API changes may affect execution. We do not guarantee 100% rule reliability.

6.3 Review Responsibility

You are responsible for regularly reviewing active rules. We provide weekly summaries to support this. We are not liable for outcomes from rules you failed to review or deactivate.

7.1 Performance Fee

BayLeaf OÜ charges a 1% performance fee on yield earned. This is deducted monthly from accrued yield and not charged on principal. No fee applies during the first [INSERT NUMBER] months of account activity.

7.2 Subscription Plans

Where available, subscription tiers are billed monthly or annually in advance as selected at signup.

7.3 Refund Policy

Performance fees are non-refundable once deducted (yield was earned). Subscription fees for unused complete months may be refunded at our discretion upon written request within 7 days of billing. Partial months are non-refundable.

7.4 Fee Changes

Fee structure changes will be communicated with 30 days' written notice. Continued use after the effective date constitutes acceptance.

7.5 Taxes and VAT

BayLeaf OÜ is registered for VAT in Estonia (VAT No: [INSERT VAT NUMBER]). Where applicable, VAT or GST will be applied in accordance with local regulations. You are solely responsible for income tax, capital gains, and other tax obligations arising from your use of the Service.

You agree not to use the Service to:

• Violate any applicable law or regulation in Estonia, the EU, or India
• Engage in money laundering, terrorist financing, or sanctions evasion
• Circumvent KYC/AML controls
• Conduct market manipulation or wash trading
• Transmit malware or conduct unauthorized access attempts
• Impersonate another person or entity
• Transact on behalf of sanctioned individuals or jurisdictions under EU or UN sanctions regimes

Violations may result in immediate suspension, termination, asset freeze, and reporting to relevant authorities including the Estonian Financial Intelligence Unit (FIU).

All content, trademarks, design, and code associated with Tomorrow's Wallet are the property of BayLeaf OÜ or licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes. Unauthorized reproduction or distribution is prohibited.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• BAYLEAF OÜ'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (a) FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM OR (b) €100 / ₹10,000.
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• WE ARE NOT LIABLE FOR LOSSES FROM BLOCKCHAIN FAILURES, SMART CONTRACT VULNERABILITIES, THIRD-PARTY WALLET ISSUES, OR FORCE MAJEURE EVENTS.

Nothing herein limits liability for gross negligence, fraud, or liability that cannot be excluded under mandatory Estonian or EU consumer protection law.

You agree to indemnify BayLeaf OÜ, its directors, officers, employees, and agents from claims, damages, or expenses arising from your violation of these Terms, misuse of the Service, or violation of third-party rights.

12.1 By You

Close your account at any time via support@tomorrowswallet.in. Active yield positions will be redeemed and funds returned within [INSERT TIMEFRAME], subject to blockchain settlement.

12.2 By Us

We may suspend or terminate accounts immediately for violations of these Terms, fraudulent activity, or legal/regulatory requirements, including instructions from Estonian or Indian competent authorities.

12.3 Survival

Sections 4, 5, 9, 10, 11, 14, and 15 survive termination.

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law principles. The UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Dispute Resolution:

1. Good-faith negotiation — 30 days
2. If unresolved: binding arbitration under the Estonian Chamber of Commerce and Industry (ECCI) Arbitration Rules, seat in Tallinn, Estonia, language: English
3. Either party may seek urgent injunctive relief from a court of competent jurisdiction

For Indian consumer users, applicable mandatory consumer protection rights under Indian law are not waived by this clause.

• Entire Agreement: These Terms and Privacy Policy constitute the entire agreement between you and BayLeaf OÜ.
• Severability: If any provision is unenforceable, remaining provisions remain in full force.
• No Waiver: Failure to enforce any provision does not waive that right.
• Assignment: We may assign these Terms in connection with a merger, acquisition, or restructuring. You may not assign without consent.
• Force Majeure: We are not liable for failures caused by blockchain network outages, regulatory actions, natural disasters, cyberattacks, or other events beyond our reasonable control.
• Language: These Terms are written in English. In case of conflict with any translated version, the English version prevails.
